Forum on Health User Agreement
1. Introduction
a. Purpose.
The Mission of Forum on health is to provide a platform to connect people with interests in health and allow them to exchange health related information that they deem relevant to themselves or others with the goal of empowering people to make informed decisions and possibly improving their quality of lives.
b. Intent.
The intent of this Agreement, referred to as "Forum on Health User Agreement", or "Agreement", is to outline the code conduct between you as the user and us as the service provider. We created these rules to outline the basic understanding of the expectations between you and Forum on Health. The rules outlined within this agreement are intended to help protect you, us and others from harm and also to help us in achieving our mission of being able to freely and appropriately share the information you want us to share without impeding other peoples' rights.
c. Agreement.
By using Forum on Health or any of its direct or indirect services or features as outlined in "Definitions" you are entering into a legally binding agreement with Unoworks Technologies Corporation of British Columbia, Canada, the owner and operator of Forum on Health. By entering into this agreement you acknowledge that you understand all its content and agree to be bound by all the terms and conditions outlined in this Agreement.
2. User Requirements
a. The information, services, features, and any content or functionality provided directly or indirectly by Forum on Health is made available only to the people who satisfy the following conditions. If you do not satisfy all the following conditions you are not allowed to use Forum on Health.
i. You are going to use Forum on Health only in the spirit of its purpose and mission as stated in this agreement. Any of the terms and conditions of this agreement, or the lack of any terms and conditions in this agreement do not constitute an implication that Forum on Health is allowed to be used beyond its stated mission.
ii. You fully read and understand the terms and conditions outlined in this Agreement.
iii. Your account was not previously disabled or suspended. If your account was previously disabled or suspended, you need to obtain our explicit written permission to re-enter our system, which we may choose to issue or not at our discretion.
iv. You were not previously banned from Forum on Health. If you were previously band, uou need to obtain our explicit written permission to re-enter our system, which we may choose to issue or not at our discretion.
v. You are not a convicted sex offender.
vi. You are not a competitor of Forum on Health and you are not affiliated with a competitor of Forum on Health.
vii. You have a full legal power and authority to enter into this agreement.
viii. You reside in a jurisdiction that allows The Limitation or Exclusion of Liability in contracts with consumers.
3. Privacy
a. Introduction.
The Privacy section describes Forum on Health's policies and procedures regarding collecting and distribution of Information. See the Definitions section for the term "Information". Your privacy is very important to us and to our mission. This section is designed to clearly outline the rules of conduct, what information is protected and how, what information is shared and how, as well as your and our responsibilities regarding privacy.
b. Private Information.
i. Privacy Controlled Fields.
Any information that you do not wish to share with the public must be entered into the privacy controlled fields. Privacy controlled fields exist in your profile and allow you to select the scope of data sharing for an entire sections of your profile (a tab) or for each field individually.
ii. Scope of Control.
Scope of control, or who can view your private information, is controlled through the privacy controls. The scope can be set to (1) not share with anyone, giving you maximum privacy, (2) share with connections and types of connections, giving you options with whom the data is shared, or (3) share with everyone, which allows you to make the data available to the public.
c. Our Responsibilities.
i. Privacy Controls.
We will make every reasonable effort within our means to provide you with adequate privacy options and controls allowing you to protect your private information. However, because of a wide range of people's preferences, we may not be able to satisfy everyone's individual needs.
ii. Data Protection.
Protecting your private information is one of our top priorities. We will make every reasonable effort within our means to protect your data by implementing and providing security infrastructure designed to control and limit access to the information. It is recognized however, that due to the complexity and wide openness of the Internet technologies, there is always a possibility that any computer system and the information it manages may get compromised. Should we become aware that your information is ever exposed beyond the intended boundaries, we will make every reasonable effort within our means to inform you about it and to stop the information leak.
d. Your Responsibilities.
i. Protect Your Password.
Your password is the key to all the private information you enter into the system. It is your responsibility to protect your password as described in the "Protect Your Password" section in the forthcoming "Security" section.
ii. Review of Privacy Settings.
It is your responsibility to review and correctly set the privacy control fields to indicate to the system the scope of access for your information.
iii. Inadequacy of Privacy Settings.
If the privacy controls functionality does not satisfy your needs, to protect your data you must not enter it into our system.
4. Security
a. Our Responsibilities.
i. Access
We make every reasonable effort within our means to control access to the restricted areas of our system in order to protect your information and your identity on Forum on Health. It is recognized however, that due to the complexity and wide openness of the Internet technologies, there is always a possibility that any computer system and the information it manages may get compromised. Should we become aware of such a breach, we will make every reasonable effort within our means to resolve it.
b. Your Responsibilities.
i. Protect Your Password.
Your password is not only the key to your private information, but it is also the key to your identity on Forum on Health and the functions and features of Forum on Health. By compromising your password you are not only creating the risk of exposing your personal information, but also allowing for the possibility that someone else may act on your behalf by posting information on your behalf, contacting people on your behalf, or performing other actions under your name. This may lead to damages to you, to us and to other people.
It is your responsibility to take all reasonable steps within your means to use and protect your password by:
1. Creating a password that cannot be easily guessed.
2. Not leaving your password available to others or unprotected.
3. Not sharing your password with others.
4. Changing your password periodically.
ii. Protect Your System.
It is your responsibility to take all reasonable steps within your means to protect your system by:
1. Intentionally Logging out from Forum on Health and closing the browser when finished using the system on any public computer.
2. Limiting the use of public computers and public wireless networks to places and institutions that can be trusted.
3. Protecting your system from viruses, spyware, malware and other intrusive software that may compromise security of Forum on Health. Should your system become infected, do not attempt to access Forum on Health until the problem has been resolved.
4. Protecting your network and your wireless network by using the necessary security features to stop unauthorized users from accessing to your network.
5. General Terms and Conditions
a. You agree to act, share information and otherwise use Forum on Health in a manner consistent with the Laws of all your binding jurisdictions. This includes, but is not limited to, strictly refraining from posting of illegal materials, distributing copyrighted information, posting racist or discriminatory information, organizing illegal activities, conspiring to commit illegal actions, and other illegal activities.
b. Due to inconsistencies of Laws among jurisdictions we retain the right to choose to apply legal standards from other jurisdictions where such standards would improve the service in terms of people's and our rights and safety as long as it is not so forbidden in our jurisdiction.
c. You agree to act, share information and otherwise use Forum on Health in a non-offensive, non-damaging and respectful manner. Actions or information related to, containing, or inciting profanity, coarse language, sexual content, hate, bullying, harassment, intimidation, blackmail, discrimination, violence, malicious software distribution, spam, and other inappropriate content are strictly prohibited.
d. You agree not to take actions designed to compromise Forum on Health's services including, but not limited to, the attempts to: breach the security of the system, compromise privacy of information, compromise the performance of the system, compromise accessibility of the system, prevent others from accessing the system, redirect traffic away, pass through, or contain Forum on Health's functionality or services within another system, and similar actions that modify the intended behaviour of Forum on Health.
e. You agree not to post anyone else's including, but not limited to, people's, businesses', governments', hospitals', and others' private, personal, secret, and copyrighted materials without their consent to do so.
f. You agree not to automatically collect any information and not to bulk collect information by any means from Forum on Health without our explicit written consent. This includes the use of automated tools such as bots, robots, spiders, and other tools.
g. You agree not to automatically bulk submit any information to Forum on Health or to use any of the Forum on Health's functionality in an automated and repeatable way. This includes, but is not limited to, auto submission of Library postings, forum entries, messages, group creation, and other functionality.
i. You are however, welcome to use automated password software to log in to your own account.
h. You agree not to copy, redistribute, rebrand, display, publish, license, sub-license, sell or otherwise transfer information found on Forum on Health with the exception of the information that you posted yourself in its original form before and without modifications or additions by other user or by us.
i. You agree not to use Forum on Health to engage in any business, marketing, promotional, advertising, sweepstakes, gambling, games, or other for profit or for non-profit activities without our explicit written consent.
j. You agree that except for private information controls as outlined in the "Privacy" section all other information you share is fully available and accessible to the general public. This includes, but is not limited to, all postings submitted to our library, group bulletins, discussion forum entries, articles, and other sharable information. This includes availability to all members and non-members with our right to decide and change if the information is restricted to the membership area.
k. You agree to give us non-exclusive, sub-licensable, royalty-free, worldwide, irrevocable, unlimited, and perpetual rights to all publically sharable information you submit to Forum on Health. This includes our rights to copy, publish, reproduce, aggregate, process, analyze, and use the information for any commercial or non-commercial purposes.
l. Notwithstanding the above non-exclusive rights granted to us, you continue to be the owner of the information you create. You retain the ability to modify the information, change the privacy controls if applicable, or remove the information from our system.
m. You agree that we can remove any of the information you submit if we find that it violates any of the terms and conditions of this agreement, or for any other reason, with or without notification.
n. You agree to provide information that is, to the best of your knowledge, true, correct and not misleading.
o. You agree to make a reasonable effort to correct or remove any information you entered should you become aware that such information is no longer true, correct and not misleading.
p. You agree not to create multiple identities, register multiple times, or use anyone else's account on Forum on Health without our explicit permission. If you forget your credentials, you agree to make a reasonable effort to follow the login and password recovery process including contacting us.
q. You agree to keep you contact information up to date. This includes your e-mail address.
r. You agree that when you delete any information you submitted from our system, we cannot be expected to expand the effort to retrieve such information from our backups. Also, you agree that upon deletion of such information we do not have any obligation to remove it from our backup copies, although such information is no longer sharable through our website.
s. We provide you with tools to report any suspected violations listed in this agreement including, but not limited to, any infringement or rights to your copyrighted property, abuse, harassment, coarse language, and any other content you may find objectionable. You may use these tools, or if you find them insufficient, you may contact us directly to report such violations.
t. We will take all reasonable actions within our means to exclude any reported or found inappropriate content as described in this agreement. Such actions may include warnings to the user, removal of content, account suspension or deletion, or banning the offending user.
u. We will give you an opportunity to appeal if you believe that your content or your access to Forum on Health has been altered without proper cause.
6. Forum on Health Property
a. Without explicated written consent, you are not allowed to use Forum on Health or Unoworks Technologies' trademarked, copyrighted, advertising or other materials that would associate you as being part of, promoting or related to Forum on Health or Unoworks Technologies in any other way than that as user or a member.
b. You are not allowed to utilize any information, content, images, layouts, data, and other solutions found on Forum on Health to provide competitive services to Unoworks Corporation on or off the Internet.
7. Your Rights
a. We grant you a revocable, non-exclusive, and non-transferable right to access and use Forum on Health's services, features and information shared on our website by means of a generally available Internet browser and according to all the terms and conditions of this agreement.
8. Other
a. Entire Agreement.
This Agreement constitutes the entire, complete and exclusive agreement between you and us regarding all the services and features of Form on Health. This agreement supersedes all prior agreements and understandings, written, spoken, custom, or implied.
b. Amendments.
We reserve the right to modify or replace this agreement with or without prior notice. We will make the new agreement available and it will become effective when made available on Forum on Health.
c. Waivers.
Our failure to act on one or more occasions with respect to a breach of this agreement or any of its sections by anyone does not waive our right to action with regard to any past, current or future breach.
No waivers to this agreement or any of its sections are valid unless expressly stated in writing and signed by the officers of Unoworks Technologies Corporation.
d. Assignment of Rights and Obligations.
You may not assign or delegate any rights or obligations under this agreement. Any apparent assignment or delegation is considered void and will be ineffective.
e. Disclaimer
i. We do not provide any guaranties or warranties, implied or non-implied of any of the Forum on Health's services or functionalities, their accuracy, quality, reliability, and the present or future availability. The service is strictly provided on "as is" basis.
ii. In particular Forum on Health's services and features can be interrupted or impeded due to, but not limited to, system maintenance, updates, software errors, external service or product vendors' disruptions, human errors, service or people unavailability, network interruptions, power failures, or lack of resources.
iii. We do not have any obligation to monitor, review, or assure the quality of, accuracy of, or truthfulness of any of the information available through Forum on Health. While it is our goal to minimize abuse, we are not responsible for the content provided through our platform. You are assuming the full responsibility and risk for the use of and acting based on the services, features and information found on or through Forum on Health.
f. Limitation of Liability
Forum on Health, Unoworks Technologies Corporation and any of its shareholders, affiliates, officers, directors, agents, and employees shall not be liable for any damages including incidental, consequential, punitive, special, legal, financial or non-financial, foreseeable or non-foreseeable, or caused directly or indirectly by the use of Forum on Health.
i. This includes, but is not limited to, the use of any Forum on Health functionality, features, information provided by Forum on Health or by its users, lack of service due to any reason, malfunctioning features of any kind, or false or inappropriate content.
ii. This limitation of liability applies to any civil, tort, small claims, contractual or any other form of litigation or claims.
iii. This limitation does not apply to any damage resulting from a deliberate action on part of Unoworks Technologies that is specifically designed to cause damage or harm.
g. Indemnification.
You agree to indemnify Forum on Health, Unoworks Technologies Corporation and any of its shareholders, affiliates, officers, directors, agents, and employees and hold all the above mentioned parties harmless for all damages, losses and costs related to all third party claims, charges, and investigations, caused by the information you submit to Forum on Health, or the actions you take through Forum on Health's services or features. The indemnification extends to all costs including time and services employed internally as well as costs of services obtained externally including, but not limited to, reasonable costs of arbitration, lawyers, or accountants.
h. Termination.
You may terminate this agreement at any time and for any reason by providing us with a termination notice. Unoworks may also terminate this agreement with you at any time and for any reason by providing you with a termination notice. Upon the termination, your access rights will be revoked and you will not be allowed to enter Forum on Health. Note that the action closing the membership account does not constitute termination of this agreement.
i. Partiality.
No part of this agreement that is found unenforceable, disallowed in any jurisdiction, or invalid for any reason, may invalidate the rest of the agreement. The entire remainder of the agreement shall be considered valid and fully enforceable.
j. Jurisdiction.
The terms and conditions of this agreement are governed by the laws of British Columbia, Canada without regard to or application of its conflict of laws of other jurisdictions. All claims arising from the services related to Forum on Health must be brought solely in Vancouver, British Columbia, Canada. By entering into this agreement you consent to the above mentioned jurisdiction, and waive any objections regarding inconvenient forum.
9. Definitions
a. "Forum on Health" means all the services and features provided through our website at www.forumonhealth.com. This includes but is not limited to information cataloguing and searching, group functionality, blogs, discussion forums, connecting and networking among people, creating bulletins, posting messages, and other functionality. This includes services and features provided either directly through the above domain or all its derivates such sub-domains, and internal links, as well as any other software or system provided by us and connected to the above domain or the systems supporting it, such as mobile applications or desktop applications. This includes services and features provided with or without membership as well as the services and features provided with or without payment.
b. "Unoworks", "Unoworks Technologies", "Unoworks Technologies Corporation", or "UTC" means the privately owned corporation that owns and provides the services of Forum on Health.
c. "Us", "We", or "Our" means Unoworks Technologies Corporation.
d. "You" or "Yours" means any user of or visitor to Forum on Health.
e. "Platform" or "System" means both the technical and organizational infrastructure designed to enable the set of services and features provided by Forum on Health. This includes hardware, software, connectivity, legal structures, financial structures, and people that operate and support Forum on Health.
f. "Membership" means being registered on Forum on Health and having access to the services and features to which access is otherwise not available.
g. "User" or "Users" means any visitor who uses the services and features of Forum on Health. This includes visitors with or without a membership, as well as both: the paying visitors and visitors using the services and features for free.
h. "Public" means the general population that has direct or indirect access to Forum on Health. This includes any person, company, organization or a computer system in any place at any time.
i. "Information" means any data submitted to or obtained from Forum on Health submitted by Users or by us. This includes, but it is not limited to, text and its formatting, images, videos, documents, links, references and any other content. This includes data submitted or obtained through every means of Forum on Health including, but not limited to, web pages, posts, ads, blogs, comments, ratings, reviews, articles, wall messages, book messages, discussion forums, profile, e-mails, and through any other means.
